1. Agreement to Terms
By accessing and using RGM Group’s consulting services, you accept these Terms of Service in full. If you do not agree to these terms, please do not use our services.

2. Scope of Services
RGM Group provides consulting services related to sustainability strategies, circular economy implementation, systems analysis, and other related services. Specific services to be provided will be detailed in a separate agreement or proposal tailored to the Client’s needs.

3. Client Responsibilities
The Client agrees to provide RGM Group with accurate and complete information necessary for the performance of the agreed services. The Client is responsible for ensuring that all provided data, documents, and instructions are clear and accurate.

4. Fees and Payment
All consulting fees will be outlined in the service agreement or proposal provided to the Client. Payments must be made in accordance with the agreed payment schedule. Late payments may incur interest or additional fees as stipulated in the agreement.

5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the consulting engagement. Neither party shall disclose confidential information to third parties without prior written consent, unless required by law.

6. Intellectual Property
All intellectual property created or provided by RGM Group, including but not limited to reports, strategies, analysis tools, and methodologies, shall remain the property of RGM Group unless otherwise agreed. The Client is granted a non-exclusive license to use the deliverables for their own internal purposes, but not for resale or distribution to third parties without prior written consent.

7. Limitation of Liability
RGM Group’s liability for any claim arising out of or relating to the services provided shall be limited to the amount of fees paid by the Client for the specific services at issue. We are not liable for any indirect, consequential, or incidental damages, including but not limited to loss of profits, data, or opportunities.

8. Warranties and Disclaimers
RGM Group will provide services in a professional manner consistent with industry standards. However, we do not guarantee any specific outcomes or results from our services. The Client understands and agrees that consulting is inherently advisory, and decisions made based on our advice are the responsibility of the Client.

9. Termination of Services
Either party may terminate the consulting agreement by providing written notice. In the event of termination, the Client agrees to pay for all services rendered up to the termination date. RGM Group may also terminate services if the Client fails to comply with the agreed terms, including payment obligations.

10. Force Majeure
RGM Group shall not be liable for delays or failure to perform its obligations under these terms due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor strikes, or disruptions to infrastructure.

11. Amendments
RGM Group reserves the right to update or modify these Terms of Service at any time. Clients will be notified of significant changes, and continued use of services following such modifications will be deemed acceptance of the updated terms.

12. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the jurisdiction in which RGM Group operates. Any disputes arising out of or relating to these terms shall be resolved in the competent courts of that jurisdiction.
